1. Who We Are
ShelterSync is developed and maintained by Reput8n Ltd, a company registered in Scotland, United Kingdom (Company No. SC884945). In these Terms, “we”, “us” and “our” refer to Reput8n Ltd, and “you” refers to the individual or organisation using our website or plugin.
By accessing sheltersync.app or installing the ShelterSync plugin, you agree to these Terms. If you are accepting these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
2. The Plugin — What We Offer
ShelterSync is a WordPress plugin that connects a WordPress website to the ShelterManager animal shelter management platform via its public Service API. It is available in two tiers:
- ShelterSync Core — free, released under the GNU General Public License v2 (GPL-2.0). You may use, modify, and distribute Core in accordance with that licence.
- ShelterSync PLUS — a paid, proprietary extension providing additional features. PLUS is licensed, not sold, and its use is governed by these Terms and the licence key issued to you at purchase.
ShelterSync relies on the ShelterManager public Service API. We make no warranty as to the continued availability, accuracy, or format of data provided by that API, and we are not responsible for any disruption, change, or discontinuation of ShelterManager’s services.
3. ShelterSync PLUS — Licence Terms
3.1 Grant of licence
Subject to payment of the applicable licence fee and compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to install and use ShelterSync PLUS on one (1) WordPress site per licence key purchased. A separate licence key is required for each additional site.
3.2 What you may not do
You may not:
- Use a single licence key on more than one WordPress site simultaneously;
- Share, resell, sublicense, or otherwise transfer your licence key to any third party;
- Reverse engineer, decompile, or attempt to extract the source code of the PLUS components;
- Remove or obscure any copyright, trademark, or proprietary notices within the plugin;
- Use ShelterSync PLUS to build or distribute a competing product.
3.3 Licence violations
We reserve the right to revoke your licence key immediately and without refund if we reasonably determine that you have breached the terms of your licence, including but not limited to sharing or misusing your licence key. Revocation does not affect any accrued rights or remedies available to us.
3.4 Licence duration and renewal
ShelterSync PLUS licences are issued on an annual basis. You may choose at the time of purchase whether your licence renews automatically each year or is set to manual renewal. You can change this preference at any time from your account on sheltersync.app.
Where auto-renewal is selected, we will charge the then-current annual licence fee to your payment method on or around the renewal date. We will send you a reminder email before each renewal. You may cancel auto-renewal at any time before the renewal date.
On expiry or cancellation of your licence, access to PLUS features will cease. Your WordPress site and any content already published will be unaffected, but PLUS functionality within the plugin will be disabled.
4. Payment and Refunds
4.1 Pricing
Licence fees are displayed on sheltersync.app at the time of purchase. All prices are in GBP and, where applicable, are inclusive of VAT. We reserve the right to change our pricing, and will provide notice of any price changes before they take effect on existing auto-renewing licences.
4.2 Payment processing
Payments are processed by Stripe. We do not store your card details. By completing a purchase you also agree to Stripe’s Terms of Service.
4.3 Refund policy
If you are not satisfied with ShelterSync PLUS, you may request a full refund within 14 days of your purchase date. To request a refund, contact us at support@sheltersync.app with your order details. On receipt of a valid refund request within the 14-day window, we will process the refund and revoke your licence key.
Refunds are not available after the 14-day window has passed, or where we have determined that a licence violation has occurred (see section 3.3).
Statutory rights: If you are a consumer based in the United Kingdom or European Economic Area, these Terms do not affect any statutory rights you may have, including rights under the Consumer Rights Act 2015 (UK) or applicable EU consumer protection legislation. In particular, you may have the right to cancel a digital purchase within 14 days unless you have expressly requested that the digital content be made available immediately and acknowledged that this cancels your right to cancel. We make PLUS available immediately on purchase; by completing your purchase you acknowledge this and agree to the 14-day contractual refund window described above in place of any statutory cancellation right.
5. Acceptable Use
When using the ShelterSync plugin or sheltersync.app, you agree not to:
- Use the plugin or website for any unlawful purpose or in violation of any applicable laws or regulations;
- Attempt to gain unauthorised access to our systems, licence servers, or any third-party service connected to ShelterSync;
- Transmit any malicious code, viruses, or disruptive material through the plugin or our website;
- Use automated tools to scrape, harvest, or systematically access content from sheltersync.app without our prior written consent;
- Misrepresent your affiliation with Reput8n Ltd or imply any endorsement by us.
6. Intellectual Property
ShelterSync Core is released under the GPL-2.0 licence. All proprietary PLUS components, the sheltersync.app website, and all associated documentation, branding, and marketing materials remain the intellectual property of Reput8n Ltd and are protected by copyright and other applicable laws.
Nothing in these Terms transfers any intellectual property rights to you beyond the licence granted in section 3.1.
7. Third-Party Services
ShelterSync integrates with or depends upon third-party services including ShelterManager and Stripe. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of any third-party service.
Links from sheltersync.app to third-party websites are provided for convenience. We do not endorse and are not responsible for the content of any linked site.
8. Disclaimer of Warranties
ShelterSync Core is provided “as is” under the GPL-2.0 licence, without warranty of any kind. ShelterSync PLUS is provided with reasonable skill and care; however, to the fullest extent permitted by applicable law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the plugin will be error-free, uninterrupted, or compatible with all WordPress configurations, themes, or plugins. It is your responsibility to maintain appropriate backups of your WordPress site before installing or updating any plugin.
9. Limitation of Liability
To the fullest extent permitted by law, Reput8n Ltd’s total liability to you in connection with ShelterSync — whether in contract, tort (including negligence), or otherwise — shall not exceed the amount you paid for your licence in the twelve months preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, special, or incidental loss or damage, including loss of profits, loss of data, or loss of goodwill, arising out of or in connection with your use of ShelterSync, even if we have been advised of the possibility of such loss.
Consumer rights: Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including statutory rights of consumers under UK or EU law.
10. Updates and Changes to the Plugin
We may update ShelterSync from time to time to fix bugs, improve performance, or add new features. PLUS licence holders with an active licence will receive updates for the duration of their licence period. We reserve the right to modify, discontinue, or end-of-life any feature with reasonable notice.
11. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect any changes. Where changes are material, we will notify registered users by email. Continued use of the plugin or website following notification of material changes constitutes your acceptance of the updated Terms.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Scotland. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the Scottish courts, except where applicable consumer protection law entitles you to bring proceedings in your country of residence.
